Terms of Service

Effective Date: 10.09.2025. 

Please read these Terms of Service (“Terms”) carefully before using the Literacy Centre of Expertise website (the “Site”) and related services. These Terms are a binding agreement between you (“you,” “User”) and The Immigrant Education Society (TIES) (“we,” “us,” “our”). 

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you may not use the Site or Services. 

  1. Scope & Acceptance

1.1. The Terms apply to your use of the Site, resources, online tools, courses, assessments, modules, and any interactive features. 
1.2. We may update or revise these Terms at any time; the revised version will be posted with a new “Effective Date.” Your continued use constitutes acceptance of the updated Terms. 

  1. Use of the Site & Services

2.1. You must be at least 13 years old (or other legal age) to use the Site. 
2.2. You shall use the Site only for lawful, noncommercial, educational, or personal purposes, and in compliance with applicable laws. 
2.3. You must not: 

  • Violate any laws or regulations 
  • Infringe intellectual property rights or privacy rights 
  • Transmit malicious code or viruses 
  • Use the Site to spam, harass, defame, or abuse others 
  • Attempt to gain unauthorized access or interfere with the Site’s operation 
    2.4. We may suspend or terminate your access if you breach these Terms, misuse the Site, or for any reason in our discretion. 
  1. Registration & Account Security

3.1. To access certain features, you may need to register or create an account. 
3.2. You are responsible for keeping your login credentials secure and must notify us immediately of any unauthorized use or security breach. 
3.3. We reserve the right to refuse or suspend registration, delete or modify your account, or remove content. 

  1. Intellectual Property & Content

4.1. All content on the Site (text, graphics, logos, images, audio, video, modules, course materials) is owned or licensed by TIES (or third parties), and protected by copyright, trademark, or other intellectual property rights. 
4.2. You may view, download, or print a single copy of materials for your personal or educational use, subject to these Terms. 
4.3. You shall not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works, or sell content from the Site without express written permission. 
4.4. If you post or submit content (e.g. comments, forum posts, feedback), you grant us a nonexclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, display, or publish such content as needed in connection with the Site and Services. 

  1. Disclaimers & Limitation of Liability

5.1. No Warranty. The Site and Services are provided “as is,” “as available,” without warranties of any kind, whether express or implied (including implied warranties of merchantability, fitness for a particular purpose, or noninfringement). 
5.2. While we strive for accuracy, we do not guarantee that content is complete, reliable, or error-free. 
5.3. Limitation of Liability. To the fullest extent permitted by law, neither TIES nor its affiliates, employees, agents, or licensors will be liable for any indirect, incidental, consequential, punitive, or special damages (e.g. loss of profits, data, goodwill), arising out of your use or inability to use the Site or Services, even if advised of the possibility of such damages. 
5.4. Our total liability to you for all claims under these Terms shall not exceed the greater of (i) the fees you paid to us (if any) in the prior 12 months, or (ii) CAD $100. 

  1. Indemnification

You agree to indemnify, defend, and hold harmless TIES, its officers, directors, employees, agents, licensors, and affiliates from any claims, demands, liabilities, damages, losses, or expenses (including legal fees) arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your infringement of third-party rights, or (d) your submitted content. 

  1. Termination

We may terminate or suspend your access at any time, without notice or liability, for any reason, including breach of these Terms or disabling of your account. Provisions that by their nature should survive termination (e.g. sections on intellectual property, disclaimers, limitation of liability, indemnification) will survive. 

  1. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the province of Alberta (or whichever province is applicable) and Canada, without giving effect to any choice of law or conflict-of-law provisions. 
Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the courts of Alberta (or the applicable province), and you consent to personal jurisdiction in those courts. 

  1. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. 

  1. Entire Agreement

These Terms, together with any policies referenced herein (e.g. Privacy Policy), constitute the entire agreement between you and TIES with respect to the Site and supersede all prior or contemporaneous understandings or agreements, written or oral. 

  1. Notices

We may provide notices to you by email, via the Site, or by postal mail (if address provided). You agree that service by email constitutes effective notice. 

  1. Miscellaneous
  • Assignment. You may not assign or transfer these Terms or your rights hereunder without our written consent; we may assign them freely. 
  • Waiver. Our failure to exercise or enforce any right or provision under these Terms does not constitute a waiver of that right. 
  • Force Majeure. We will not be liable for delays or failures in performance caused by events beyond our reasonable control (acts of nature, war, Internet outages, etc.).
